Terms of Service

1. Acceptance

By creating an account or using the Axis MCP platform, API gateway, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

2. The Service

Axis MCP provides a managed API gateway that routes requests from authorised clients to Model Context Protocol (MCP) server spokes. Access is provided via API keys issued to authenticated users.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3. Accounts & API Keys

• You are responsible for maintaining the confidentiality of your account credentials and API keys. Do not share API keys or embed them in publicly accessible source code.
• You are liable for all activity that occurs under your account, whether authorised by you or not. Notify us immediately at axis.mcp.support@gmail.com if you suspect unauthorised use.
• Accounts are for individual use or a single organisation. You may not create multiple accounts to circumvent rate limits or billing.

4. Billing & Payment

• The Service uses metered, usage-based billing processed by Stripe. By subscribing you authorise us to charge your payment method for usage accrued each billing period.
• Usage is measured by the number of API requests successfully routed through the gateway. Counts are logged in our database and are the authoritative record for billing disputes.
• Charges for usage already consumed are non-refundable. If you believe a charge is in error, contact us within 30 days of the charge date.
• We reserve the right to update pricing with at least 30 days' notice to active subscribers.
• Failure to pay may result in suspension or termination of your account and API keys.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to circumvent, reverse-engineer, or exploit the gateway, rate-limiting systems, authentication mechanisms, or any spoke service
• Resell, sublicense, or provide white-label access to the Service to third parties without our prior written consent
• Generate, transmit, or store content that is harmful, abusive, defamatory, or that infringes third-party intellectual property rights
• Intentionally overload or disrupt the Service or its infrastructure (including distributed denial-of-service attacks)
• Use automated means to create accounts, generate API keys, or otherwise abuse free-tier access
• Access financial market data provided through the Service for purposes that violate applicable securities laws or exchange data agreements

We reserve the right to suspend or terminate accounts that violate this section immediately and without notice.

6. Financial Data Disclaimer

Certain MCP spokes accessible through Axis provide financial market data (including stock quotes, news, earnings data, and company information). This data is provided for informational and developer-tool purposes only.

Nothing on the Axis platform constitutes financial, investment, legal, or tax advice. Market data may be delayed, incomplete, or inaccurate.

You assume all risk arising from any investment or trading decisions made using data obtained through the Service. Axis MCP is not a registered investment advisor, broker-dealer, or financial institution.

7. Intellectual Property

The Axis platform, gateway, dashboard, and documentation are owned by Axis MCP and protected by intellectual property law. These Terms do not grant you any ownership rights in the Service.

You retain all rights to data and content you transmit through the Service. By using the Service you grant us a limited licence to process your data solely as necessary to provide the Service.

8. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind.

To the fullest extent permitted by law, Axis MCP disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant the accuracy, completeness, or timeliness of any data delivered through the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Axis MCP and its affiliates, officers, employees, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Losses arising from use of, or inability to use, the Service or any data obtained through it
• Losses arising from unauthorised access to or alteration of your data

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to Axis MCP in the three months preceding the claim, or (b) USD $100.

10. Indemnification

You agree to indemnify and hold harmless Axis MCP and its affiliates from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account at any time from the dashboard. Cancellation stops future billing; you remain liable for charges already accrued.

We may suspend or terminate your account immediately for violation of these Terms, non-payment, or conduct that poses a security or legal risk to the Service or its users. Upon termination, your API keys are deactivated and your right to access the Service ceases.

12. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario for the resolution of any dispute arising under these Terms.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by email to registered users. Your continued use of the Service after a change constitutes acceptance of the updated Terms.
